Agreement to Terms

By downloading, installing, or using LocalWhisper (“the Software”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Software.

License Grant

Standard License ($49 one-time)

Upon purchase of a Standard License, we grant you a non-exclusive license to:

  • Install and use the Software on up to two (2) devices that you own or control.
  • Use the Software for personal or commercial purposes.
  • Access core features including unlimited dictation, audio file transcription, and text/markdown export.
  • Receive lifetime updates for the Standard tier (see “Lifetime Updates” definition below).

Pro License ($99 one-time)

Upon purchase of a Pro License, we grant you a non-exclusive license to:

  • All rights included in the Standard License.
  • Access advanced features including video import, subtitle export (.srt/.vtt), batch processing, speaker diarization, and JSON export.
  • Receive lifetime updates for the Pro tier (see “Lifetime Updates” definition below).

Enterprise License (Custom pricing)

Upon purchase of an Enterprise License, we grant your organization a non-exclusive license to:

  • All rights included in the Pro License.
  • Install and use the Software on devices owned or controlled by your organization.
  • The number of seats (users) is determined by your license agreement.
  • Access enterprise features including MDM deployment, SSO/SAML integration, and priority support.

Note: Enterprise features are subject to availability and may be rolled out in phases. Contact legal@sekora.ai for current feature availability and roadmap.

Restrictions

You may not:

  • Redistribute, sell, lease, or sublicense the Software.
  • Reverse engineer, decompile, or disassemble the Software.
  • Remove or alter any proprietary notices or labels on the Software.
  • Use the Software to develop competing products.
  • Share license keys with unauthorized users.
  • Circumvent or attempt to circumvent license validation.

License Transferability

Standard and Pro licenses may be transferred to another person or device once per calendar year with written notice to legal@sekora.ai. This allows for scenarios such as selling your computer or transferring ownership. Enterprise licenses may not be transferred without prior written consent from Sekora AI.

Intellectual Property

The Software, including all code, graphics, user interface designs, and documentation, is owned by Sekora AI and protected by copyright and other intellectual property laws. Your license does not grant you any ownership rights in the Software.

Free Tier

LocalWhisper offers a permanent Free tier that includes:

  • Unlimited dictation with system-wide mic input.
  • 100% offline processing for complete privacy.
  • No payment information or account required.

The Free tier is yours to use indefinitely. Upgrade to Standard or Pro at any time to access additional features like audio file transcription and LLM refinement.

Updates and Support

Lifetime Updates Definition

“Lifetime updates” means updates to the major version of LocalWhisper you purchased (e.g., version 1.x) for as long as we continue to actively support that version. This includes bug fixes, security patches, performance improvements, and new features within your license tier. Major version upgrades (e.g., from version 1.x to version 2.x) may be offered as a separate product and may require an additional purchase, though we typically offer discounted upgrade pricing for existing customers.

Updates

All license tiers include lifetime updates at no additional cost within the major version. We are committed to supporting each major version for a minimum of three (3) years from its release date.

Support

We provide email support for all licensed users. Enterprise license holders receive priority support with dedicated SLAs as specified in their license agreement.

Payment and Refunds

Payment

  • All purchases are currently processed through Stripe.
  • We reserve the right to change payment processors. Your payment information is subject to the payment processor’s terms and privacy policy.
  • Prices are listed in USD unless otherwise specified.
  • You are responsible for any applicable taxes.

Refund Policy

  • We offer a 14-day money-back guarantee from the date of purchase.
  • To request a refund, contact legal@sekora.ai with your order details.
  • Refunds are processed to the original payment method.
  • After 14 days, refunds are provided at our sole discretion.

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

We do not warrant that:

  • The Software will meet your specific requirements.
  • The Software will be uninterrupted, timely, secure, or error-free.
  • The results from using the Software will be accurate or reliable.
  • Any errors in the Software will be corrected.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SEKORA AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Software.
  • Any unauthorized access to or use of our servers and/or any personal information stored therein.
  • Any bugs, viruses, or the like that may be transmitted to or through the Software.
  • Any errors or omissions in any content.

Our total liability shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Sekora AI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Software or violation of these Terms.

Termination

  • We may terminate your license immediately if you breach these Terms.
  • Upon termination, you must cease all use of the Software and destroy all copies.
  • Sections regarding intellectual property, disclaimers, limitation of liability, and indemnification survive termination.

Force Majeure

Sekora AI shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of war or terrorism, pandemics, government actions, labor disputes, power failures, internet service provider failures, or third-party service outages. During such events, our obligations shall be suspended for the duration of the force majeure event.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Software after such changes constitutes acceptance of the new Terms.

Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Westmoreland County, Pennsylvania.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sekora AI regarding the Software and supersede all prior agreements and understandings.
